1. Acceptance of These Terms
These Terms of Use (the “Terms”) govern your access to and use of the website at myprogressbridge.com and any subdomains operated by My Progress Bridge, Inc., a New York corporation (“My Progress Bridge,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
2. Definitions
- “Service” — the My Progress Bridge analytics platform, including dashboards, applications, APIs, and documentation.
- “Customer” — a school district, charter school, or other LEA that has executed a Master Subscription Agreement.
- “Authorized User” — an individual authorized by a Customer to access the Service.
- “Customer Data” — data, including Student Data, submitted to the Service by or on behalf of a Customer.
3. Eligibility and Accounts
The Site is intended for adults 18 or older acting in a professional capacity. Authorized Users are responsible for safeguarding their credentials and for all activity under their account.
4. License Grant; Restrictions
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for lawful, non-commercial informational purposes related to evaluating or supporting use of the Service.
You agree not to:
- Reverse engineer, decompile, or attempt to derive source code from the Site or Service;
- Copy, modify, frame, mirror, or republish the Site;
- Use scrapers or automated means except for legitimate search engines;
- Use the Site to develop a competing product;
- Probe or test the vulnerability of the Site or interfere with its operation;
- Submit unlawful, infringing, defamatory, or harassing content;
- Submit Student Data through public-facing forms on the Site.
5. Customer Data and Student Data
As between the parties, the Customer (and not My Progress Bridge) owns all right, title, and interest in Customer Data, including Student Data. We process Student Data only as a school official under FERPA and as a third-party contractor under New York Education Law § 2-d, in each case under the direct control of the Customer.
Visitors must not submit Student Data, sensitive personal information, or confidential information through unauthenticated forms on the Site.
6. Intellectual Property
The Site and Service, and all associated software, designs, text, graphics, logos, and trademarks (excluding Customer Data), are owned by My Progress Bridge or its licensors. “My Progress Bridge,” the My Progress Bridge logo, and related marks are trademarks of My Progress Bridge, Inc.
7. Feedback
If you submit suggestions or feedback regarding the Site or Service, you grant My Progress Bridge a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate the Feedback for any purpose.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Site will be uninterrupted, secure, or error-free. Outcome figures, testimonials, and benchmarks shown on the Site are illustrative; actual results vary.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MY PROGRESS BRIDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE. Our total cumulative liability arising out of or relating to these Terms will not exceed one hundred U.S. dollars ($100).
10. Indemnification
You agree to defend, indemnify, and hold harmless My Progress Bridge from claims arising from (a) your use of the Site in violation of these Terms; (b) your violation of any law; (c) your violation of any third-party right; or (d) content you submit.
11. Suspension and Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or applicable law.
12. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York for any dispute.
13. Changes to These Terms
We may modify these Terms from time to time. Material changes will be posted with a new effective date. Your continued use of the Site after the effective date constitutes acceptance of the modified Terms.
